|Graham was a partner of Nemeth Thody Anderson, Chartered Accountants of Vancouver, B.C., from 1979 until his retirement in 2007. His practice focused on the audits of reporting companies, participation in the initial public offering process, corporate mergers and acquisitions and domestic and international tax matters. Today, he is a Director, Chairman and Chairman of the Audit Committees of several reporting corporations involved in mining exploration and development throughout the Americas. He is a Director and the Past-President and CEO of UEX Corporation. Graham is a member of the Chartered Professional Accountants British Columbia and of the Chartered Professional Accountants Canada. He holds a Bachelor of Commerce degree in Marketing from the University of British Columbia.|

| Dunham Craig graduated from the University of British Columbia with a Degree in Geology in 1988. From 1970 to 1983, he worked in the heavy construction industry and also operated his own construction company for seven years. Upon graduation from university, he served as a project geologist for Cominco Exploration Ltd. and later consulted for Cominco and Kennecott Canada Inc.|
Subsequently in 1993, as the vice president of exploration and corporate development for Wheaton River Minerals, Dunham was responsible for the discovery of three mineral deposits at Wheaton River's highly profitable Golden Bear mine and for participating in the project through bankable feasibility and bank financing. He later directed the acquisition of the Bellavista Gold Project in Costa Rica and oversaw its design through bankable feasibility. From 2002 to 2005, he was a member of the initial management team of Glencairn Gold Inc. that acquired and developed two operating mines in Central America. Dunham joined ValOro in 2005 as its President and was later appointed CEO and President by the Board in 2006.

| George's 25-year career in the mining industry has focused on investment banking and corporate development, specifically identifying, evaluating, and executing strategic mergers and acquisitions, and the provision of equity financing. Most recently Mr. Brack acted as the Managing Director and Industry Head, Mining Group, of Scotia Capital. Prior to joining Scotia Capital in 2006, Mr. Brack spent seven years as President of Macquarie North America Ltd., an investment banking firm specializing in merger and acquisition advice. Previous to that, Mr. Brack was Vice-President, Corporate Development at Placer Dome Inc., was Vice-President of the investment banking group at CIBC Wood Gundy, and worked in Rio Algom's Corporate Development department. Mr. Brack currently serves as a director of Capstone Mining Corp., and Alio Gold Inc.|
Mr. Brack holds a BA. Sc. in Geological Engineering from the University of Toronto, an MBA from York University, and the CFA designation.

|Mr. Smallwood holds a mine engineering diploma from British Columbia Institute of Technology and a geological engineering degree from the University of British Columbia. Mr. Smallwood was involved in the founding of Wheaton Precious Metals and in 2007, he joined Wheaton full time as Executive Vice President of Corporate Development, primarily focusing on growing the Company through the evaluation and acquisition of silver stream opportunities. In January 2010 he was appointed President, and in April 2011 he was appointed Wheaton's Chief Executive Officer. Mr. Smallwood originally started as an exploration geologist with Wheaton River Minerals Ltd., and in 2001 was promoted to Director of Project Development, his role through its 2005 merger with Goldcorp. Before joining the original Wheaton River group in 1993, Mr. Smallwood also worked with Homestake Mining Company, Teck Corp. and Westmin Resources. Mr. Smallwood was an instrumental part of the team that built Wheaton River / Goldcorp into one of the largest, and most profitable gold companies in the world, and he is now focused on continuing to add to the impressive growth profile of Wheaton. Mr. Smallwood has served on the board of ValOro Resources Inc. since 2005. In 2015, Mr. Smallwood received the British Columbia Institute of Technology Distinguished Alumni Award.|

|Mr Candiani is a Mexican citizen and currently President & CEO of Candiani Mining, a private consulting firm based in Mexico City, and is Vice President of the Mexico City Chamber of Commerce. Previously, he was a founding partner in a private investment banking firm and a former Executive President of the Mexican National Natural Gas Association. He is experienced in executing acquisition and divesture deals, as well as equity and M&A transactions in several countries in Latin America, and has acted as an advisor to companies such as Southern Copper (Mexico), Endeavour Silver (Canada), La Camera (Canada), Mitsui (Japan), Interexport (Chile) and Tracerco (U.K.) amongst others. Mauricio formerly served as a Federal Congressman in Mexico, where he led an industry effort to reform the Federal Mexican Mining Legislation of which the bill was signed and enacted in 2005. Mr. Candiani holds a bachelors degree in Political Science and Public Administration from Universidad Iberoamericana and an Executive Masters Degree in Business Administration from the prestigious Institute Panamericano de Alta Direccion de Empresas (IPADE).|
